Terms of Service
These terms set out the conditions and procedures for using VMSProbe, provided by OurHertz (우리들의주파수), and the rights, obligations and responsibilities of OurHertz and its users. VMSProbe is a professional diagnostic service that helps CCTV and VMS engineers measure cameras, networks and video management systems on site and analyze the results in the cloud. This English text is a translation of the Korean original. If the two differ, the Korean version prevails.
Article 1 (Purpose)
These terms govern the rights, obligations and responsibilities of OurHertz (the "Company") and its users in connection with the VMSProbe service (the "Service") that the Company provides at vmsprobe.com, related addresses and through its software.
Article 2 (Definitions)
- "Service" means the VMSProbe desktop app, the VMSProbe Agent, the cloud analysis service (including the web interface and API) and every feature that comes with them.
- "Desktop app" means the program that runs on an engineer's Windows PC and measures cameras, networks and VMS, including the virtual camera (simulator) feature.
- "Agent" means the program that runs on a VMS server or VMS client PC and measures the state of that PC.
- "User" means a person who accepts these terms and uses the Service. The Service is a business service; users are typically system integrators, installation and maintenance companies, or engineers working for them.
- "Organization" means the unit within the Service to which a user's account belongs; plans and cases are managed per organization.
- "Bundle" means the encrypted file (.vmsprobe) in which the desktop app or Agent stores its measurement results.
- "Case" means the set of bundles from one site diagnosis together with their analysis results.
- "Customer Data" means the bundles a user uploads to the Service and the results the Service produces from them (findings, verdicts, AI explanations, reports).
- "Target Systems" means the cameras, recorders, VMS servers and clients, network equipment and other systems that a user measures or tests with the Service.
Article 3 (Posting and amendment of these terms)
(1) The Company posts these terms in the Service at vmsprobe.com/terms.
(2) The Company may amend these terms within the limits of applicable law, including the Act on the Regulation of Terms and Conditions. An amendment is posted in the Service at least 7 days before it takes effect; an amendment to users' disadvantage is posted at least 30 days before it takes effect and also sent to the registered e-mail address.
(3) A user who does not accept an amendment may terminate the agreement. A user who keeps using the Service without objecting within the period stated in the notice is deemed to accept the amendment; the notice will say so.
Article 4 (Beta service)
(1) The Service is currently in beta. During the beta, features, screens, analysis rules and plan structure may change, be added or be removed without notice, and errors or temporary interruptions may be more frequent than in a generally available service.
(2) During the beta, the Company may give particular users the features of a paid plan free of charge or on separately agreed terms.
(3) During the beta your data is still protected as set out in the Privacy Policy, and these terms and the Refund Policy apply in full to any period you have paid for.
Article 5 (Formation of the agreement and accounts)
(1) The agreement is formed when a user accepts these terms and the collection and use of personal information, requests a sign-in link for an e-mail address, and completes sign-in with that link so that an account is created.
(2) The Service uses no passwords. On the web you sign in with a one-time link sent by e-mail; the desktop app signs in when you approve the device code it displays in a browser where you are already signed in.
(3) You must use an e-mail address you control, and you are responsible for keeping that mailbox and your signed-in devices secure. You may not transfer or lend your account to anyone else.
(4) You can review the list of signed-in devices on the account screen and sign out any of them. If you suspect your account has been compromised, sign out the affected devices at once and tell the Company.
(5) The Company may refuse or defer registration where another person's e-mail address is used, where the intent to misuse the Service is evident, where the applicant is under 14, or where there is a capacity or technical obstacle.
Article 6 (What the Service provides)
(1) The Company provides the following. Details and per-plan limits are as shown in the Service and on the pricing page.
- Desktop app: device discovery (WS-Discovery and others), ONVIF and RTSP/RTP tests, stream quality measurement, ping, TCP connection and route measurement, TLS and authentication checks, ONVIF message trace capture, and a virtual camera (simulator)
- Agent: collection of CPU, memory, disk and network counters, relevant services and an event log summary on VMS server and client PCs
- Creating bundles and uploading them to the cloud (from the web or the desktop app)
- Cloud analysis: findings and a root-cause verdict from the rule engine, and, on paid plans when the user chooses it, an AI explanation
- Viewing analysis results and viewing or printing reports
(2) The desktop app and the Agent only measure; root-cause verdicts and AI explanations are produced only in the cloud. Measurements can be taken without an internet connection, but a bundle must be uploaded to see its analysis.
Article 7 (Plans and subscriptions)
(1) The Service is offered on a free plan (Community), paid plans (Solo, Team, Integrator) and an Enterprise plan quoted individually.
(2) The Community plan is free and is limited, among other things, to 5 devices per test run, a 60-second stream test, 2 findings visible in the cloud, and cases kept for 7 days.
(3) The prices, limits and features of the paid plans are as shown on the pricing page and at checkout. Paid plans are recurring subscriptions billed in advance for the period you choose (monthly or yearly).
(4) Unless you cancel, a subscription renews automatically at the end of each billing period for the same period at the then-current price, and the registered payment method is charged automatically. Before a yearly subscription renews, the Company (or its payment provider) will e-mail you the renewal date and amount.
(5) If the Company raises the price of a paid plan or changes it to your disadvantage, it will tell you by e-mail and in the Service at least 30 days before the change applies; the new price applies from the billing period starting after that. You may cancel before then.
(6) AI explanations are provided within a monthly allowance per plan. Once the allowance is used up, only rule engine results are provided for the rest of that month.
(7) The Enterprise plan and offline licences are governed by a separate agreement between the Company and the customer; where that agreement differs from these terms, it prevails.
Article 8 (Payment and Paddle)
(1) Payment for paid plans is handled by Paddle.com Market Limited ("Paddle"). Paddle is the Company's authorised reseller and the merchant of record, and handles payment, the calculation and remittance of taxes (such as VAT), invoices and receipts, and refunds.
(2) The purchase contract for a paid subscription is therefore between you and Paddle, and Paddle's Buyer Terms also apply to the payment. Use of the Service itself is governed by these terms.
(3) Paddle collects card numbers and other payment details directly; the Company never receives or stores them. The Company receives from Paddle only what it needs to manage the subscription, such as the subscription status, Paddle's customer identifier, country and e-mail address.
(4) Whether the displayed price includes tax, and the final amount charged, depend on your country and are shown at Paddle's checkout. Your card statement may show Paddle or PADDLE.NET.
Article 9 (Cancellation and refunds)
(1) You may cancel a paid subscription at any time, with no penalty or fee. Cancelling stops billing from the next billing date, and you keep the paid plan until the end of the period already paid for.
(2) The rules and procedure for withdrawal and refunds are set out in the separately posted Refund Policy (vmsprobe.com/refund), which forms part of these terms.
(3) Neither this article nor the Refund Policy limits any right that applicable law, including the Act on Consumer Protection in Electronic Commerce and the Door-to-Door Sales Act, guarantees to consumers.
Article 10 (Use only with proper authorisation)
(1) The desktop app and the Agent send real network traffic to Target Systems. This includes discovery messages, ping, TCP port connections, ONVIF and RTSP requests, stream reception, TLS connection tests and authentication checks, and the app may try to sign in to devices with credentials you enter. The virtual camera feature starts a device that answers on the network like a camera.
(2) You may use the Service only on networks, devices and PCs that you own or that their owner or administrator has explicitly authorised you to diagnose. When you upload a bundle or run the Agent you confirm that you have this authorisation, and the Company keeps a record of that confirmation.
(3) Measurements may load Target Systems or affect the behaviour of old or unstable devices. When testing a video surveillance system in operation, agree with your customer beforehand and choose a suitable time and scope for the tests.
(4) Any legal liability (for example under the Act on Promotion of Information and Communications Network Utilization and Information Protection) and any loss arising from testing a Target System without authorisation rests with the user who did so.
Article 11 (Prohibited conduct)
You must not:
- use the Service to discover, test, attempt to access or attack networks, devices or systems of third parties without authorisation;
- use other people's credentials without permission, or use the Service to discover device passwords by brute force or similar means;
- use the virtual camera feature to impersonate real devices in order to deceive or disrupt other people's systems;
- probe the Service for vulnerabilities, send excessive automated requests, or attempt to access another organization's data;
- circumvent or tamper with the bundle format or its encryption, or circumvent plan limits;
- reverse-engineer or decompile the desktop app, the Agent or the cloud service, or use the Service to build a competing service, except as far as applicable law permits;
- upload material that the law prohibits or that infringes other people's rights;
- use the snapshot feature to collect personal information about people shown in video without a lawful basis.
Article 12 (Ownership of Customer Data and licence to process it)
(1) Rights in Customer Data belong to the user (or the user's customer). The Company claims no ownership of Customer Data.
(2) You permit the Company to store, decrypt, analyze and display Customer Data as far as needed to provide the Service and, where you choose an AI explanation, to pass the analysis results to the AI processor. This permission is non-exclusive and lasts while the Service is provided to you.
(3) The Company may extract from bundles only the manufacturer, model and firmware version of cameras and recorders together with pass, warning and failure counts per test, and aggregate them into anonymous statistics (compatibility statistics) that contain no organization, IP address or site name, for improving the Service and providing compatibility information. Because these statistics cannot identify any user or site, they may remain after an account or case is deleted.
(4) The Company does not use Customer Data for advertising, does not sell it, and does not provide it for training AI models. Company staff look at Customer Data only where needed to deal with faults, answer your enquiries, investigate misuse or meet legal obligations.
(5) Where Customer Data contains personal information about your customers or third parties (for example people visible in a camera snapshot), you must have a lawful basis for collecting it and entrusting it to the Service. The Company then processes it as a processor, as described in the Privacy Policy.
Article 13 (Nature of diagnostic results and AI explanations)
(1) Findings, verdicts and reports are the result of applying rules to the data you measured, at the time and to the extent you measured it; they cannot reflect anything that was not measured or anything that changed afterwards.
(2) AI explanations are reference material generated automatically by artificial intelligence (Anthropic's Claude) from the analysis results. They may be inaccurate or incomplete, and the wording may differ for the same data.
(3) Diagnostic results and AI explanations are advice to support the engineer's judgement. Decisions on actual measures, such as replacing equipment, changing settings, rebooting or reporting to a customer, and the responsibility for them, remain with the user, who should verify the results before taking any significant action.
(4) Security check results (TLS versions, authentication methods and the like) are general security recommendations; they do not guarantee the security of a Target System and do not replace a security certification.
Article 14 (Software licence)
(1) The Company grants you a non-exclusive, non-transferable right to install and use the desktop app and the Agent for business purposes in accordance with these terms. Copyright and all other rights in the software remain with the Company.
(2) You may not modify, redistribute or rent the software or remove its copyright notices. Installing the Agent on a customer's PC for diagnostic work is permitted.
(3) Open-source components included in the software are governed first by their own open-source licences.
Article 15 (Provision, change and interruption of the Service)
(1) The Service is in principle available 24 hours a day, every day, but no availability level (SLA) is guaranteed unless an Enterprise agreement provides otherwise.
(2) The Service may be interrupted temporarily for maintenance, replacement of equipment, network failures, failures at processors (Cloudflare, Anthropic, Paddle and others) or other unavoidable reasons. Planned maintenance is announced in advance; unforeseeable interruptions are reported afterwards.
(3) The Company may change or discontinue all or part of the Service. Paying users are told at least 30 days in advance of any change to their disadvantage or of discontinuation, and on discontinuation the unused part of the paid period is refunded.
Article 16 (Restriction of use)
(1) If a user breaches these terms (in particular Articles 10 and 11), the Company will ask for the breach to be remedied and, if it is not remedied within a reasonable period, may restrict use of the Service or terminate the agreement.
(2) For an evident breach that would cause harm difficult to undo unless stopped at once, such as an attack on a third-party system or account takeover, the Company may restrict use without prior notice and will give the reason without delay.
(3) You may object to a restriction, and the Company will lift it immediately if the objection is justified.
Article 17 (Termination and account deletion)
(1) You may terminate the agreement at any time by deleting your account under "Account > Delete account" in the Service. If you have a paid subscription, cancel it first; any refund for the remaining period follows the Refund Policy.
(2) Deleting the account destroys the account information and the organization's cases, bundles and analysis results as set out in the Privacy Policy; they cannot be recovered. Records the law requires to be kept and the anonymous statistics described in Article 12(3) are excepted.
(3) Bundle files the desktop app or the Agent left on your own PCs are under your control, and you must delete them yourself.
Article 18 (Limitation of liability)
(1) The Company compensates users for loss caused by its intent or negligence as provided by applicable law. Unless the Company acted intentionally or with gross negligence, it is not liable for:
- loss caused by events beyond its control, such as natural disasters, failures at processors or failures of the user's own connection;
- loss arising from a breach of Article 10 or from tests or measures the user decided to carry out on Target Systems (missed recordings, device outages, interruption of site operations and the like);
- loss arising from following diagnostic results or AI explanations without verifying them;
- loss arising from the user's failure to keep the e-mail account or signed-in devices secure;
- indirect loss such as lost profits, or loss arising from special circumstances, unless the Company knew or could have known of those circumstances.
(2) For loss caused by the Company's ordinary negligence, compensation to a paying user is limited to the amount that user paid for the Service in the 12 months before the loss occurred. For use of the free plan, the Company is liable only for intent or gross negligence.
(3) This article does not limit liability for intent or gross negligence, liability for death or personal injury, or any right that applicable law guarantees to consumers.
Article 19 (Notices)
(1) The Company may send individual notices to the e-mail address of your account.
(2) A notice to users in general may be given by posting it in the Service for at least 7 days instead of individually, except for matters that significantly affect a user's transactions, which are notified individually.
Article 20 (Governing law and jurisdiction)
(1) These terms and the use of the Service are governed by the laws of the Republic of Korea.
(2) If a dispute arises between the Company and a user in connection with the Service, both parties will first try in good faith to resolve it; any lawsuit is brought before the court having jurisdiction under the Civil Procedure Act of the Republic of Korea.
Article 21 (Business information and contact)
